Terms & Conditions
DEFINITIONS
“Agreement” means the contract between CDLTR and You for the supply of Services in accordance with these Conditions.
“Authorised Users” means the Learners and System Administrators.
“Content” means software, data, documents, text, video, audio or any other content including E-Learning Materials.
“Client” means anyone or a group of persons who hire the services/ facilities of CDLTR
”E-Learning Materials” means learning courses delivered by electronic means.
“Intellectual Property Rights” means any past, current and future intellectual property rights and interests, including patents, utility models, designs, design rights, copyright (including rights in software), decryption rights, database rights, trademarks, rights pursuant to passing off, service marks, business and trade names, domain names, know-how, topography rights, inventions, rights in confidential information (including technical and commercial trade secrets) and image rights, and rights of a similar or corresponding character in any part of the world, in each case whether registered or not and including any application for registration and renewals or extensions of such rights in any country in the world.
“Learner” means the individuals You authorise to use the Services and have been supplied usernames and passwords by You or CDLTR.
“Parties” means You and CDLTR collectively, each being a “Party.”
“Proposal” means a proposal for the supply of Services & Facilities as provided by CDLTR to You.
“Services” means the services made available by CDLTR as described in the Facilities & Service descriptions and Proposal and any other product or service provided by CDLTR.
“Facilities” means the physical and online facilities made available by CDLTR as described in the descriptions and any other product or service provided by CDLTR under the Agreement.
“Third Party Content” means Content made available to You by any third party in conjunction with the Services, including E-Learning Materials.
“User Subscriptions” means the user subscriptions purchased by You which entitle Learners to access Content utilising the Services in accordance with the Agreement. User Subscriptions may also be described as “Learner Fees”.
“Virus” means anything or any device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); steal or redirect data in bad faith or attempt to do the same; or adversely affect the Authorised User experience, including worms, malware, Trojan Horses, viruses and other similar things or devices.
“Your Content” means Content that You or any Authorised User run on, cause to interface with, or upload to, the Services, under Your account including E-Learning Materials.
RESPONSIBILITIES OF CDLTR
CDLTR agrees that:
- CDLTR shall provide Services & Facilities as agreed upon by both parties
- CDLTR shall provide personnel to operate the equipment in the facilities
- CDLTR shall not be held responsible for the loss of any data
- CDLTR shall ensure that no device it uses contains viruses of any kind that will result in damage to the devices carried by you
- CDLTR is indemnified from any litigation/ direct and indirect losses arising out of the courses offered by you unless the services offered by CDLTR are faulty
- CDLTR’s responsibility shall be limited to the software/ services licenses that it has entered into with third parties
- CDLTR shall not respond to any pedagogical queries raised by learners
- All taxes, as applicable, shall be mentioned by CDLTR explicitly
- CDLTR shall confirm booking/ hiring and cancellation of Services/ Facilities hired by you
- CDLTR shall maintain confidentiality at all times
- CDLTR reserves the right to delete data on its storage devices once the course material is handed over to the client
- CDLTR is authorised to terminate and prevent you from using our services if you:
a) fail to pay when your Services/ Facilities Fees are due beyond 20 days;
b) indulge in unacceptable behaviour, including aggressive, bullying, offensive, threatening or harassing any employee of the CDLTR

FOR ONLINE COURSE INSTRUCTOR/S
You agree that:
- You will book our facilities at least 15 days in advance
- On receiving confirmation of the booking, you shall arrive at CDLTR with all the content ready for development and production, including formatting of your documents, PPTs, etc.
- You shall adhere to the bookings and not delay your work beyond the stipulated bookings
- You shall be responsible for all the teaching content created by you
- Any corrections in production will incur additional service charges
- You shall always have a backup of all the data you bring to the CDLTR
- You shall ensure that no device brought to you to CDLTR contains viruses of any kind that will result in damage to the facilities at CDLTR/ devices
- You alone shall be responsible for the copyright of all the content that is used in your courses. Read this note on Copyright.
- You will indemnify CDLTR from any litigation/ direct and indirect losses arising out of the courses offered by you unless the services offered by CDLTR are faulty
- You agree to clear payments on all invoices within 20 days of delivery of services offered by CDLTR
- All taxes, as applicable, shall be paid by you
- You shall provide advance notice and justify any cancellation of service/s.
- You shall maintain confidentiality at all times
- You shall arrange for the necessary personnel and catering services if you book our dining, conference and computer facility
- CDLTR is authorised to terminate and prevent you from using our services if you:
a) indulge in unacceptable behaviour, including aggressive, bullying, offensive, threatening or harassing any employee of the CDLTR
b) fail to pay when your Services/ Facilities Fees are due beyond 20 days; - Cancellation charges will apply if you cancel the Event/ Use of our facilities/ Services two days before the appointment. We charge 30% of the booking amount. 100% charges will be levied in cases of no-show
- All charges are inclusive of 18% GST as per Govt of India rules

FOR AGENCIES/ INSTITUTIONS
Agencies/ Institutions booking services agree that:
- On receiving confirmation of the booking, you shall arrive at CDLTR with all the content ready for your event.
- You shall adhere to the bookings and not delay your work beyond the stipulated bookings
- You shall use the premises responsibly and leave it in the condition it was booked and confirmed
- You shall pay for any losses that CDLTR suffers as a result of your actions
- Any corrections in production will incur additional service charges
- You shall always have a backup of all the data you bring to the CDLTR
- You shall ensure that no device brought to you to CDLTR contains viruses of any kind that will result in damage to the facilities at CDLTR/ devices
- You alone shall be responsible for the copyright of all the content that is used in your event/s or courses. Read this note on Copyright.
